Termination agreement

This Termination Agreement (the Agreement) is entered into on [ ] in [ ] by and between Jetion Solar (China) Co., Ltd., a company established and existing under the laws of the People’s Republic of China (Party A), and ______, a company established and existing under the laws of___________ (Party B).

鉴于 Whereas

甲乙双方于年月日签订了编号为：[ ]的[ 合同]。现经甲、乙双方友好协商决定签署本合同终止协议以终止该合同：

Party A and Party B made the [ Contract] on [ ], Contract No.:[ ]. Now a friendly consultation between two parties, both decided to sign this Termination Agreement to terminate the Contract

双方达成协议如下：

The parties agree that:

1. 同意终止上述[ 合同]，合同编号为：[ ]。甲、乙双方的权利义务关系终止，双方没有完成的义务不再继续履行，双方不存在任何其他经济纠纷。

Agreed to terminate the [ Contract], Contract No.:[ ]. All rights and obligations between the two Parties also terminated. The uncompleted obligations shall not continue to perform. There is no other economic disputes between the two Parties.

2. 本协议自双方签字盖章之日起生效，保持效力直至双方履约完成。

This Agreement comes into effect after signature and seal by the Parties and shall remain in full force until both Parties completely perform their obligations herein.

3. 本合同应受中华人民共和国法律的管辖并按其解释。

This Agreement shall be governed by and construed in accordance with the laws of the People’s Republic of China.

4. 所有通知用中文和/或英文写成，并按照如下地址用传真/电子邮件/快件送达另一方。如果一方地址有变更，该方应在变更后十（10）个工作日内书面通知另一方。

All notices shall be written in English and/or Chinese and served to the other party by fax/e-mail/courier according to the following addresses. If any changes to the addresses occur, the party shall inform the other party of the change its address within ten（10）working days of the change.

5. 本合同为中、英文两种文本，每种文本同时签署二（2）份。双方确认，两种语言文本具有同等效力，在所有实质方面完全一致。

This Agreement shall be executed in English and Chinese versions simultaneously in two (2) counterparts in each language. The parties hereby confirm that each language version is equally authentic and is consistent in all material aspects.
