In accordance with the Contract Law of the People’s Republic of China and relevant laws and regulations in the PRC, both Parties agree the following content through amicable negotiation:

Article 1-Cooperation Description

Design interior way finding system of XXXX , details please see attachment”XXXX” (Hereinafter referred as the “design”).

Article 2-The Rights and Obligations

2.1 Party B shall design strictly in accordance with Party A’s standards and requests.

2.2 Party B shall submit final design after the writing acceptance of Party A.

Article 3-Commission and Payment

3.1 Within 15 working days after design been accepted by Party A, Party A shall pay Party B commission fee of RMBXX.

3.2 The above fee receivable by Party B shall be remitted to the bank account designated by Party B, The information of Party B’s bank account is as below:

Article 4-Warranties and Commitments

4.1 Party B guarantees the delivered design works shall be of originality and do not contain any content which may infringe any third party's rights, including but not limited to intellectual property rights. Otherwise, any legal liabilities generated from the aforesaid infringements shall be borne by Party B.

4.2 Party B shall be responsible for promptly revising or supplementing for the flaw or errors in Party B’s design service and design works free of charge.

4.3 The design service and design works that Party B provides to Party A shall be in conformity with China's laws and regulations.

Article 5-Breach Liability

5.1 If either party fails to perform or renders non-conforming performance, thereby causing loss to the other party, the amount of damages payable shall be equivalent to the other party’s loss resulting from the breach, provided that the amount shall not exceed the likely loss resulting from the breach which was foreseen or should have been foreseen by the breaching party at the time of conclusion of the contract;

5.2 The failure of parties to comply with any obligation under this Contract because of an act of war, fire, riot, earthquake, act of public enemies, actions of governmental authorities or for any reason beyond the reasonable control shall not be deemed a breach of this Contract and such party shall have no liability by reason of such event.

Article 6-Intellectul property

Copyright and related intellectual property rights design related shall vest in Party A, Party B could only use the IP rights after Party A’s approval in writing and paying reasonable fee.

Article 7-Confidentiality of Proprietary Information

Both parties shall hold all information received from the other party in confidence and shall not disclose or use such Confidential and/or Proprietary Information, otherwise should be responsible for all the loss owning to the breach.

Article 8-The contract effective and revision term

8.1 This contract shall become effective when signed by the representative and stamped by the two parties;

8.2 This contract has four copies, each party has two copies with equal legal effect (Attachment as effective contract part), any revision of contract terms shall be both approved in written by both parties.

8.3 Other miscellaneous items uncovered in this contract will be negotiated by both parties and sign appendix attachment which has equal legal effect of the contract.
