XX Co., Ltd with its office at Industry Road, Xingyang, Zhengzhou, China 450100 hereinafter referred to as “Supplier” through their authorized signatories on the one hand and DYLL International Limited with its office at The Pakubuwono, Eaglewood 11E, Jl. Pakubuwono 6, No.68, Kebayoran Baru, Jakarta 12120, Indonesia, hereinafter referred to as “Agent” through its authorized signatory on the other hand and together the Agent and the Supplier hereinafter are referred as “Parties” have concluded this Agency Agreement hereinafter referred to as “Agreement” on the following conditions:

一方，XX有限公司，下文经授权人签字指定为“供应商”。另一方，DYLL国际有限公司，下文经授权人签字指定为“代理”。代理和供应商（下文为双方）就以下条款签署代理协议（下文指“协议”）

1. The Subject of the Agreement

1.1. The Supplier gives the Agent the right and the Agent accepts this right to represent the Supplier dealing with the sale of Supplier’s PRODUCTS as well as their Spare Parts and Services, hereinafter referred to as “Equipment, Spare Parts and Services” in INDONESIA, hereinafter referred to as “Territory of Agreement”.

供应商授权代理，代理接受代表供应商在印度尼西亚（下文指协议区域）经营供应商的产品，备件和服务销售的权利（下文指设备，备件和服务）

1.2. The Agent will represent the Supplier in the Territory of Agreement acting only in accordance with the Supplier’s instructions and according to the terms of the Agreement.

代理在协议区域按照供应商的指示和协议条款行事。

1.3. The Agent shall not have the right to offer the Supplier’s Equipment, Spare Parts and Services to buyers outside the Territory of Agreement without the written consent of the Supplier. The Agent should possess a written permission for every such case.

供应商无书面同意的情况下，代理无权在协议区域外提供供应商的设备，备件和服务给买方。诸如此类事情，代理应具有书面允许。

2. The Obligations of the Agent

2.1. Over the validity period of the Agreement, the Agent is obliged to:

在协议有效期内，代理有义务

2.1.1. look for potential buyers and inform the Supplier on existing demand for Equipment, Spare Parts and Services immediately;

寻找潜在客户和立即通知供应商客户对设备，备件和服务的需求量。

2.1.2. inform the Supplier about upcoming tenders in the Territory of Agreement, so the required tender documentation could be sent in time this includes:

通知供应商在协议区域即将来临的招标，因此所需的招标文件应即时送达。招标文件包括：

­ notifying the Supplier of upcoming tender;

招标通知

­ sending to the Supplier the tender terms;

招标条款

­ taking part in tender;

招标参与

­ informing the Supplier on results of the tender;

招标结果通知

2.1.3. ensure that all necessary measures will be taken for the Supplier to receive the payments for the delivered Equipment, Spare Parts and Services;

确保应采取所有必要措施为供应商收到货款。

2.1.4. upon request from buyers, render its assistance to the buyers in receiving the license for importing the Equipment, Spare Parts and Services;

一旦买方要求，应帮助买方收到进口货物许可。

2.1.5. assist the Supplier if the Supplier participates in international exhibitions and/or fairs in the Territory of Agreement.

帮助供应商在区域领域参加国际展会。

2.2. The Agent should help the Supplier to vindicate patents and other exclusive rights if the Supplier’s property rights to sell the goods are violated.

如果供应商的出售货物产权受到侵犯,代理人应帮助生产商维护专利和其他专营权利。

2.3. Under no circumstances may the Agent disclose the Supplier’s commercial information.

在任何情况下，代理人不能透露供应商的商业信息。

2.4. Upon relevant agreement with the buyers the Agent will take the obligation to organize and render technical assistance on behalf of the Supplier.

与买方达成相关协议，代理将代表生产商承担组织、提供技术帮助的义务。

2.5. The Agent will assist the Supplier and buyers to agree on their obligations concerning servicing the Equipment by the Supplier.

代理人将针对生产商提供的设备服务协助生产商和买方达成双方各自义务。

3. Obligations of the Supplier

生产商的义务

3.1. Over the validity period of the Agreement the Supplier is obliged to:

在协议的有效期内，生产商应承担的责任：

3.1.1. help the Agent in increasing the sales of the Equipment, Spare Parts and Services on the Territory of the Agreement;

帮助代理增加在协议区域货物的销售量、备件以及服务。

3.1.2. search for the possibilities for better mutual work with the Agent;

为更好的和代理商共同合作寻找方法。

3.1.3. assist the Agent in negotiations with buyers when required;

当需要的时候，生产商应帮助代理和客户谈判。

3.1.4. assist the Agent in ensuring the appropriate fulfillment of buyers obligations stated in the contracts;

在合约中，协助代理商确保买方应该履行的义务。

3.1.5. constantly inform the Agent about new modifications of manufactured equipment and modernization of existing Equipment;

要不断告知代理商已制造设备的更新和现有设备的更新。

3.1.6. provide the Agent with printed materials necessary for advertising and sale of the Equipment such as catalogues, brochures, technical documentation, etc;

提供代理商作广告和销售所必须的印刷材料，比如：目录，彩页，技术文件。

3.1.7. upon necessity inform the Agent about possibilities to take part in tenders on behalf of the Supplier;

一旦有必要,通知代理有能代表供应商参加招标

3.1.8. send specialists to the Territory of Agreement to provide buyers with technical assistance in mounting; launching and repairing the Equipment; the specialists can only be sent upon Agent’s request and according to the terms of relevant contracts if any.

派遣工程师到协议区域，给买方在安装、运行、修理设备等方面提供技术帮助。专家只能在代理的请求下和根据相关合约的条件下或者其他，才能被派遣。

4. The Commission

佣金

4.1. In order to cover all the expenses evolved from the obligations of the Agent and as a premium for provided assistance the Agent will deal with their own Commission for the sold Equipment, Spare parts and services.

为了弥补代理义务滋生的费用,并作为辅助津贴,供应商将因销售设备、备件、和服务自己处理其佣金问题。

5. Arbitration

仲裁

5.1. The Parties shall resolve amicably all disagreements and disputes arising from

this Agreement or relevant contracts.

对于该协议或者相关的合同所引起的纠纷，双方应友好解决所有分歧。

5.2. Should the Parties fail to come to an agreement in an amicable way the matter shall be referred to the Law Courts of Singapore in accordance with the rules of the procedure of the said Court.

如果双方在友好协商解决的情况下不能达成共识，那么此事将提交到新加坡法院，依照新加坡法院议事规则执行。

5.3. The law applicable shall be Substantive Law of Singapore, as in force at the time of reference of the dispute.

法律该是新加坡实体法，当争论提交的时候立即生效。

5.4. The proceeding of the Arbitration shall be conducted in English.

该程序的仲裁应以英语进行

5.5. The venue of the Arbitration shall be in Singapore.

仲裁地点在新加坡进行

5.6. The award of the arbitration is binding and final for both Parties.

仲裁授予对双方均有约束力

6. Other conditions

其它条款

6.1. Oral negotiations and correspondence held between the Parties before signing the

Agreement after signing the Agreement shall be considered void.

在协议签定前后，口头的商议和通信应该无效

6.2. All amendments and changes to the Agreement are considered valid if they are made in written form and are signed by both Parties.

如果双方书面签定，所有的修改和更正视为有效

6.3. Neither of the Parties has the right to transfer its rights and obligations under the Agreement to a third party without the prior written consent of the other Party.

无一方的书面同意，任何一方都无权转让协议项下的权利和义务给第三方。

6.4. The Agreement is composed in English language in two identical original copies one for each Party, initialed on each page.

协议应用英语书写，每方均有一份同样的正本，正本字样标注在协议的每一页。

6.5. Either Party is entitled to annul this Agreement with no consequences if other Party fails to fulfill partly or in full its obligations under the Agreement.

如果一方部分或全部没有履行其义务，另一方有权废除此项协议。
